These Terms of Service ("Terms") govern your access to and use of OpusPDF, a cloud-based Software-as-a-Service ("SaaS") platform providing PDF tools and document processing services (the "Service"), operated by OpusPDF ("OpusPDF", "we", "us", or "our").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.


1. Eligibility and Account Registration

1.1 Eligibility

You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to use the Service.

1.2 Account Responsibility

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities conducted under your account
  • Ensuring that all information you provide is accurate and current

OpusPDF is not responsible for any loss or damage resulting from unauthorized access to your account due to your failure to safeguard credentials.


2. Description of the Service

OpusPDF provides online tools for PDF manipulation and document processing, including but not limited to conversion, organization, compression, security, and Optical Character Recognition ("OCR").

Certain features are available only under paid subscription plans and are subject to plan-specific limits, fair-use principles, and enforcement safeguards.


3. Subscriptions, Billing, and Payments

3.1 Subscription Plans and Access

Your access to features is determined exclusively by:

  • Your active subscription plan
  • Your account status
  • Applicable quotas, safeguards, and fair-use rules

Frontend displays or indicators do not override backend enforcement.

3.2 Billing Provider

All payments, renewals, cancellations, and refunds are processed through OpusPDF's authorized payment provider(s). Payment provider records and webhooks constitute the sole source of billing truth.

3.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless canceled prior to renewal.

3.4 Non-Payment

Failure to complete payment may result in feature restriction, downgrade, suspension, or termination of access.


4. Fair Use and Acceptable Behavior

4.1 Fair Use Principle

Use of the Service must be reasonable, proportionate, and consistent with normal personal, professional, or organizational document-processing needs for the subscribed plan.

4.2 Prohibited Activities

You may not, directly or indirectly:

  • Engage in automated, continuous, or systematic processing at scale
  • Use OpusPDF as a backend, processing engine, or substitute API for another service
  • Perform bulk archival or mass digitization projects
  • Resell, sublicense, or redistribute processed output
  • Circumvent quotas, safeguards, or enforcement mechanisms
  • Create or use multiple accounts to evade restrictions
  • Upload content for which you do not hold the necessary rights
  • Interfere with the security, stability, or availability of the Service

Usage that materially exceeds normal patterns may be deemed excessive even if numeric limits are not explicitly exceeded.


5. OCR Services and "Unlimited" Features

5.1 OCR Usage Accounting

OCR usage is internally measured using weighted accounting that considers document resolution, type, and complexity. High-resolution and handwriting OCR consume disproportionately more resources.

5.2 "Unlimited" Feature Clarification

References to "unlimited" features indicate the absence of fixed numeric caps under normal usage conditions. They do not imply unrestricted, abusive, or industrial-scale usage.

OpusPDF reserves the right to enforce fair-use limits regardless of plan naming or marketing language.


6. Enforcement and Safeguards

6.1 Progressive Enforcement

OpusPDF may apply one or more of the following measures:

  1. Usage notices or warnings
  2. Throttling, queuing, or performance reduction
  3. Upgrade prompts or credit requirements
  4. Temporary feature restriction
  5. Account suspension or termination

6.2 Immediate Action

OpusPDF may take immediate enforcement action without prior notice when necessary to protect system integrity, security, legal compliance, or other users.

All enforcement decisions are final.


7. Administrative Discretion

Authorized OpusPDF administrators may:

  • Grant temporary credits
  • Adjust quotas in exceptional circumstances
  • Flag approved high-volume usage

Administrators may not remove safeguards or grant unrestricted access. All administrative actions are logged for auditability.


8. User Content and Data

8.1 Ownership

You retain ownership of all files and content you upload to the Service.

8.2 License to Operate

You grant OpusPDF a limited, non-exclusive, and revocable license to process your content solely for the purpose of providing the Service.

8.3 Data Handling

Uploaded files and generated outputs are handled in accordance with OpusPDF's Privacy Policy and Data Retention Policy.


9. Privacy

Your use of the Service is subject to the OpusPDF Privacy Policy, which describes how personal data is collected, used, stored, and protected.


10. Service Availability and Modifications

10.1 Availability

The Service is provided on an "as is" and "as available" basis. OpusPDF does not guarantee uninterrupted or error-free operation.

10.2 Modifications

OpusPDF may modify, suspend, or discontinue any part of the Service at any time for legal, operational, or economic reasons.


11. Intellectual Property

All software, interfaces, branding, documentation, and related materials are the exclusive property of OpusPDF and are protected by applicable intellectual property laws.

You may not copy, reverse engineer, or redistribute any part of the Service.


12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription.

12.2 Termination by OpusPDF

OpusPDF may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in abusive or excessive usage
  • Are subject to legal or regulatory restrictions

Termination does not relieve you of any outstanding payment obligations.


13. Disclaimers

To the maximum extent permitted by law:

  • The Service is provided without warranties of any kind
  • OpusPDF does not guarantee the accuracy or completeness of OCR output
  • Users are responsible for reviewing processed documents before relying on them

14. Limitation of Liability

To the fullest extent permitted by law, OpusPDF shall not be liable for any indirect, incidental, consequential, or special damages, including loss of data, profits, or business opportunities.

OpusPDF's total liability shall not exceed the total amount paid by you to OpusPDF in the twelve (12) months preceding the claim.


15. Indemnification

You agree to indemnify and hold harmless OpusPDF from any claims, damages, liabilities, or expenses arising from:

  • Your use or misuse of the Service
  • Your content
  • Your violation of these Terms or applicable laws

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of OpusPDF's operating jurisdiction, without regard to conflict-of-law principles.


17. Changes to These Terms

OpusPDF may update these Terms from time to time. Material changes will be communicated via the website or user dashboard.

Continued use of the Service constitutes acceptance of the updated Terms.
